terms
These are the terms for using the desk at thedesk.fyi, operated by Softgrain LLC, a Wyoming limited liability company ("the desk," "Softgrain," "we," "us"). By signing up or using the site, you agree to them. If you don't agree, please don't use the site.
We're a small operation. We try to be reasonable; we ask you to be too. If something here is unclear, email hello@thedesk.fyi.
who can use it
You must be at least 16 (or the minimum age in your country) to sign up. You're responsible for your account and for anything done through it. Keep your email secure: sign-in goes through that email.
your content
What you put on your desk (entries, notes, comments, friend-of-the-week selections) belongs to you. You give us a non-exclusive, royalty-free, worldwide license to display, store, and transmit it as needed to run the site (showing your desk to visitors, delivering comments to other users, generating the preview image for your desk, and so on). This license ends when you delete the content or your account, except as needed for backups and dispute resolution.
If we use anonymized, aggregated data about what people are into to write a "from the desk" piece (see privacy), that's done from an export with no handles, no names, and no stable identifiers. You can opt out of being included in that data in settings.
public by default
Desks are public. Anyone with a link can see your desk and what you've put on it. Comments and likes are public too. If something is on your desk, treat it as something you're comfortable having on the open internet.
acceptable use
Please don't:
- Harass, threaten, or impersonate other people.
- Post illegal content, sexual content involving minors, or material that infringes someone else's copyright or other rights.
- Use the site to send spam, or run automated activity at a pace that harms others.
- Try to break into accounts, the database, or the underlying infrastructure.
- Scrape the site at scale, or republish other people's desks without their consent.
If you do these things, we may suspend or delete your account.
“from the desk” pieces
We publish occasional pieces reflecting on patterns across desks. These are written from anonymized data and aim not to quote any single desk in a way that identifies its author. You can opt out of being included in the source data in settings. If you believe a published piece identifies you in a way you didn't consent to, email us and we will address it.
paid features
If we offer paid features (such as paid skins), the price is shown before purchase. Payments are handled by a third-party processor; we do not see or store your card number. Purchases are non-refundable except where required by law, and access to a paid feature may end if your account is deleted or terminated.
copyright (DMCA) notices
We respect intellectual property and respond to valid notices under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the desk infringes a copyright you own or control, please send a notice to our designated agent:
DMCA Agent, Softgrain LLC, at hello@softgrain.io (mailing address on file with the U.S. Copyright Office DMCA agent directory).
A valid notice must include:
- A physical or electronic signature of a person authorized to act on behalf of the rights owner.
- Identification of the copyrighted work claimed to have been infringed (or a representative list if multiple works).
- Identification of the material that is claimed to be infringing, with enough detail for us to locate it, including the URL on the desk.
- Your contact information: name, address, telephone number, and email.
- A statement that you have a good-faith belief the use is not authorized by the rights owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights owner.
On receiving a valid notice, we will remove or disable access to the identified material and notify the user who posted it.
counter-notice. If your content was removed by mistake or misidentification, you may submit a counter-notice to the same address. It must include your signature, identification of the removed material and its prior URL, a statement under penalty of perjury that the removal resulted from mistake or misidentification, your name, address, and telephone number, and your consent to the jurisdiction of the federal district court for your address (or, if outside the US, for any judicial district in which we may be found). If we receive a valid counter-notice and the original complainant does not file a court action within 10–14 business days, we may restore the content.
repeat infringers. In appropriate circumstances, we will suspend or terminate accounts of users who repeatedly post content that is the subject of valid takedown notices. We maintain this policy as required by 17 U.S.C. § 512(i).
warning. Knowingly false notices and counter-notices carry penalties under 17 U.S.C. § 512(f). Please don't send a notice unless you genuinely believe the use is infringing and unauthorized.
ending your account
You can end your account at any time from settings under "danger zone." Deletion is immediate and removes your profile, desk, comments, likes, follows, and notifications. We may also suspend or delete an account for serious or repeated violations of these terms or applicable law.
service is provided as-is
The site is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't promise the site will be uninterrupted, error-free, or fit for any specific purpose.
limitation of liability
To the extent permitted by law, our total liability for any claim arising out of or related to the site is limited to the greater of (a) what you have paid us in the 12 months before the claim or (b) US$100. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.
These limits do not apply where they aren't permitted by law, including for gross negligence or willful misconduct.
governing law
The desk is operated by Softgrain LLC, a Wyoming limited liability company. These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any dispute arising under these terms will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
changes
We may update these terms. If we do, we'll change the "last updated" date and post the new version here. Material changes will be emailed to signed-in users who haven't turned off notifications. Continued use of the site after a change means you accept the updated terms.
